We have over 25 years of extensive experience in creating and advising on securities,  mortgages, charges, debentures, loan agreements, property transfers, long-term leases for developments and sectional property transactions, among others.

The Firm also offers services concerning property development in aspects of acquisition, sales, loan, securities and property finance.

We have also been actively involved in the area of Real Estate Investment Trusts and already have REIT clientele.

Key Practice Areas

We walk clients through the acquisition and disposal process where the legal title or interest in property is transferred from one party to another. As a Firm, we offer services to the parties involved by:

  • Advising the client on the buying and selling process as well as the effect of transferring an interest in property
  • Investigating titles
  • Drafting the sale agreements and incidental agreements
  • Liaising with the sellers/lenders and their advocates
  • Applying for available tax exemptions and assisting with tax compliance
  • Preparing completion documents
  • Perfecting of the documentation, including proper execution, completion and registration

We are engaged by banks and other financial institutions to secure their interests including by way of preparing and registering charges, debentures and deeds of assignment.

We offer services to the land owner and developer with regard to negotiations with service providers, drafting of standard form agreements and even the process of undertaking a change of user.

In the case of financiers, we offer advice during prior negotiations, conducting due diligence with regard to the property, and drafting and reviewing loan and security documents to ensure that they are fully aware of the liabilities they are to incur.

We also advise property buyers in developments on unique issues relating to such transactions including situations where the developer is distressed and requires to negotiate with purchasers.

  • Amalgamations & Subdivision

In consultation with other professionals including surveyors and planners, we facilitate the processes of both amalgamation and subdivision.

  • Discharges

We prepare discharges for properties that have been previously used to secure loan facilities and undertake registration of the said discharges on behalf of our clients.

  • Lease agreements

We undertake drafting and reviewing of leases (commercial and residential) to ensure the best interest of our clients is attained by considering factors such as the rent, term of the lease and payment structure.

Under a lease, the lessor grants only a term of years to the lessee, and the lessor has a right of reversion upon the expiration of the term granted.

  • Registration and lifting of cautions

To protect the interests of our clients, we may apply for registration of cautions against properties that are contested. Additionally, we apply for lifting of cautions where parties have settled the dispute giving rise to the registration of cautions.

  • Agency agreements

We prepare and review agency agreements for clients who wish to manage properties for others or have their own properties managed.
